1. **Terms & Conditions**
1.1. The seller hereby certifies and declares that he/she is the absolute and legal owner of this device being sold to StepStone directly or through its authorised partners.
1.2. The seller also declares that the device is legitimate and is not stolen or from any source which is deemed illegal by the UK Government.
1.3. The seller also declares/undertakes that the liability (whether present or future) arising due to proof of illegitimacy of the device after the date of transaction shall be borne by the seller and that StepStone or its authorized partners shall not have any legal, moral or ethical responsibility of the same.
1.4. The seller hereby undertakes to indemnify StepStone or its authorised partners of any liability, legal costs, and other incidental expenses incurred due to the illegitimacy of the device sold by the seller.
1.5. The seller hereby confirms that the physical/cosmetic conditions or other results of the device self-declared during the testing of the device are true and correct. The seller is fully aware that the final offer varies based on the test results.
1.6. The seller understands and is aware that any wrong/misdeclaration of test results by the seller will result in the reduction of the final offer and payment will be released after such reduction. The seller agrees that he/she will have no claim on StepStone or its authorized partners due to wrong/misdeclaration.
1.7. The seller has requested StepStone or its authorised partner to run the app for test results on his/her behalf and the seller confirms the test results.
1.8. The seller hereby accepts the final offer and agrees to sell the device unless the offer is declined.
1.9. The seller agrees to ship the device to StepStone within 48 hours of receiving the pre-booked sales pack.
1.10. The seller hereby agrees to remove all accounts prior to mailing the device, including but not limited to Samsung, Android, Google Accounts, Samsung Members, iCloud.
1.11. The seller hereby further declares that they are capable/competent to enter into legal contracts and agreements.
1.12. The seller confirms that he/she has taken the back-up of data stored in the device. StepStone or its authorized partners are in no way responsible for loss of data or erasure.
1.13. The seller cannot claim the device once it is sold. The buyer reserves its exclusive right to the device in its sole discretion.
1.14. The seller hereby takes responsibility for sending their own item back, and StepStone or its authorised partners are in no way responsible for items that may become lost or damaged during transit.
1.15. Bridge Wireless UK and its subsidiary StepStone reserve the right to refuse any device that does not comply with the provided descriptions or that is deemed unacceptable under these Terms & Conditions.
1.16. The seller assures that the device is free from any liens or encumbrances and that they are in a position to transfer clean title to StepStone.
1.17. All intellectual property rights related to the device are hereby transferred to StepStone upon completion of the transaction, unless expressly stated otherwise.
2. **Grading (Condition of the Device)**
2.1. The grading of the device is done based on its physical and functional condition.
2.2. The grading criteria include the device’s cosmetic appearance, functionality, and overall performance.
2.3. Any discrepancies in the grading will be communicated to the seller, and adjustments will be made accordingly.
2.4. The seller agrees to the final grading determined by StepStone or its authorised partners.
2.5. The decision of StepStone or its authorised partners regarding grading is final and binding, and no further appeals will be entertained.
3. **Data (Personal Files and Information on the Device)**
3.1. The seller is responsible for the removal of all personal files and information from the device before selling.
3.2. StepStone is not responsible for any data that remains on the device after it has been sold.
3.3. The seller agrees to perform a factory reset on the device to ensure the removal of all data.
3.4. Any data remaining on the device will be permanently deleted by StepStone.
3.5. StepStone will not recover or restore any data once the device has been reset.
3.6. The seller is advised to back up their data before performing a factory reset.
3.7. The seller is responsible for deactivating any accounts linked to the device.
3.8. StepStone is not responsible for any consequences resulting from the seller’s failure to remove data or deactivate accounts.
3.9. The seller agrees to the data handling practices of StepStone as outlined in this section.
3.10. The seller acknowledges that StepStone is compliant with all relevant data protection laws and regulations, including the General Data Protection Regulation (GDPR), in relation to the handling and deletion of data on the device.
4. **Online Trade-in**
4.1. The seller agrees to the terms and conditions of the online trade-in program.
4.2. The seller will receive payment based on the condition of the device as determined by StepStone.
4.3. The seller agrees to ship the device to StepStone using the provided shipping materials.
4.4. StepStone is not responsible for any damage to the device during shipping.
4.5. The seller agrees to the payment terms and conditions as specified by StepStone.
4.6. The risk of loss for the device remains with the seller until the device is received by StepStone or its authorised partners, at which point the risk transfers to StepStone.
5. **Prohibited Activities**
5.1. The seller is prohibited from providing false information about the device.
5.2. The seller is prohibited from selling stolen or illegitimate devices.
5.3. The seller is prohibited from violating any applicable laws or regulations.
5.4. The seller is prohibited from engaging in fraudulent activities.
5.5. The seller is prohibited from interfering with the services provided by StepStone.
5.6. The seller is prohibited from violating the intellectual property rights of StepStone or any third party.
5.7. The seller is prohibited from using the services of StepStone for any illegal purposes.
5.8. The seller is prohibited from tampering with the device to misrepresent its condition.
5.9. The seller is prohibited from attempting to circumvent the security measures of StepStone.
5.10. The seller is prohibited from using the services of StepStone in a manner that could harm, disable, or impair the services.
5.11. The seller is prohibited from using automated systems or software to extract data from the website or services of StepStone.
5.12. The seller is prohibited from attempting to gain unauthorized access to the systems or networks of StepStone.
5.13. The seller is prohibited from attempting to reverse engineer, decompile, or disassemble any software used by StepStone.
5.14. The seller is prohibited from uploading or transmitting any form of malware, virus, or harmful code to StepStone’s systems.
5.15. The seller is prohibited from using the services of StepStone to harass, abuse, or harm others.
5.16. The seller is prohibited from impersonating any person or entity or misrepresenting their affiliation with a person or entity.
5.17. The seller is prohibited from engaging in any activity that could damage the reputation of StepStone.
5.18. The seller is prohibited from violating the privacy rights of others.
5.19. The seller is prohibited from infringing on the copyrights, trademarks, or other intellectual property rights of others.
5.20. The seller is prohibited from using the services of StepStone for any form of unsolicited communication.
5.21. The seller is prohibited from collecting or storing personal information about others without their consent.
5.22. The seller is prohibited from engaging in any form of discrimination or hate speech.
5.23. The seller is prohibited from promoting or endorsing any form of illegal activity.
5.24. The seller is prohibited from using the services of StepStone to create, distribute, or promote any material that is defamatory, obscene, or offensive.
5.25. The seller is prohibited from using the services of StepStone to promote or endorse any form of violence or terrorism.
5.26. The seller is prohibited from using the services of StepStone to promote or endorse any form of discrimination or hate speech.
5.27. The seller is prohibited from using the services of StepStone to violate the rights of others.
5.28. The seller is prohibited from using the services of StepStone to engage in any form of unethical or immoral conduct.
5.29. The seller is prohibited from using the services of StepStone to promote or endorse any form of self-harm or harm to others.
5.30. The seller shall indemnify and hold harmless Bridge Wireless UK, StepStone, and its authorised partners against any losses, damages, costs, liabilities and expenses (including, without limitation, legal expenses and any amounts paid by Bridge Wireless UK to a third party in settlement of a claim or dispute) incurred or suffered by Bridge Wireless UK arising out of any breach by the seller of any provision of these prohibited activities.
6. **Dispute Resolution and Governing Law**
6.1. Any disputes arising out of or related to these Terms & Conditions or the device transaction shall be resolved through amicable negotiation between the parties.
6.2. If the parties are unable to resolve the dispute through negotiation, either party may refer the dispute to mediation or arbitration in accordance with the rules of the Arbitration and Conciliation Act 1996.
6.3. The arbitration shall be conducted in English and shall be held in London, United Kingdom.
6.4. The award rendered by the arbitrator(s) shall be final and binding on both parties.
6.5. These Terms & Conditions and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the United Kingdom.
7. **Amendments**
7.1. Bridge Wireless UK reserves the right to amend these Terms & Conditions at any time and without prior notice to the seller.
7.2. Any amendments to these Terms & Conditions shall be effective immediately upon posting on the StepStone website or app.
7.3. The seller is responsible for regularly reviewing these Terms & Conditions to stay informed of any amendments.
7.4. Sellers will be notified of any material changes to these Terms & Conditions via email or through in-app notifications, and it is the seller’s responsibility to review any amendments.
8. **Limitation of Liability**
8.1. Under no circumstances will Bridge Wireless UK, StepStone, or its authorised partners be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the device transaction, whether such claim is based on warranty, contract, tort (including negligence), or otherwise.
8.2. The total aggregate liability of Bridge Wireless UK, StepStone, and its authorised partners for any claims arising from or related to the device transaction is limited to the amount paid by the seller for the device.
9. **Miscellaneous**
9.1. These Terms & Conditions, along with any amendments or additional agreements you may enter into with Bridge Wireless UK or StepStone in connection with the device transaction, shall constitute the entire agreement between you and Bridge Wireless UK concerning the device transaction.
9.2. If any provision of these Terms & Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms & Conditions, which shall remain in full force and effect.
9.3. No waiver of any term of these Terms & Conditions shall be deemed a further or continuing waiver of such term or any other term, and Bridge Wireless UK’s failure to assert any right or provision under these Terms & Conditions shall not constitute a waiver of such right or provision.
9.4. The seller agrees to comply with all local, state, national, and international laws, rules, and regulations applicable to the use of the App and the device transaction.
